Article 1: General provisions
The website (www.widewakepro.coffee) of Wide Awake Coffee BV, a legal entity under Belgian law with its registered office at Rue de Ransbeek 230, 1120 Brussels (Belgium), VAT BE 0720.625.173, RPR 0720.625.173 (hereinafter “Wide Awake Coffee”) provides its professional customers (this means any buyer, legal entity or natural person, who pursues an economic objective in a sustainable manner, within the meaning of artikel I.8, 39° of the economic Law Code/W.E.R.) with the option of buying products from its webshop.
These Terms and Conditions (“Terms”) are applicable to all orders placed by a professional customer (“Business Customer”) via the professional webshop www.widewakepro.coffee. When placing an order via this webshop of Wide Awake Coffee, Business Customer must explicitly accept these Terms, whereby Business Customer agrees to the applicability of these Terms with the exclusion of all other conditions. Additional or deviating Business Customer conditions are excluded, except when explicitly accepted beforehand in writing by Wide Awake Coffee.
Article 2: Prices
All prices listed for the products are expressed in EURO, excluding VAT and any other applicable duties or taxes, which are the responsibility of the Business Customer.
Any shipping, reservation or administration fees that are charged, are specified separately.
The specified price refers solely to the products as set out in writing. The accompanying photos are intended as decorative and may contain elements that are not included in the price.
Article 3: Availability
Despite the fact that the online catalogue and website are assembled with the utmost care, it is still possible that information may be incomplete, contains material errors, or is not up to date. Obvious mistakes or errors in the product selection are not binding for Wide Awake Coffee. With respect to the accuracy and completeness of the provided information, Wide Awake Coffee is solely bound to obligation of means. Wide Awake Coffee is in no way liable in event of obvious material or printing errors.
If the Business Customer has specific questions about for instance sizes, colour, availability, delivery terms or method, the Business Customer may contact Wide Awake Coffee in advance.
The product selection is valid while stocks last and may at any time be changed or withdrawn by Wide Awake Coffee. Wide Awake Coffee cannot be held liable for the non-availability of a product. If an offer is for a limited duration or subject to conditions, this will be explicitly stated in the offer.
Article 4: Online purchase process
The Business Customer can purchase the products as offered on the professional website of Wide Awake Coffee and must follow the steps described there, such as indicating the desired products and the quantity, completing the payment procedure, and filling in the personal details required for, among other things, receiving the proof of purchase and delivery of the products. Each step in the sales process is explained on the website. The business Customer has the opportunity to review and correct its order before proceeding to payment. Placing an order entails a payment obligation.
Article 5: Delivery
5.1
Orders shall be sent to the address indicated in the order form within 5 to 7 working days of receipt of the order by Wide Awake Coffee.
If Wide Awake Coffee is unable to send the products within the above-mentioned time limit, Wide Awake Coffee undertakes to inform the Business Customer in writing and jointly agree on a new, reasonable delivery time. Should Wide Awake Coffee exceed the second deadline, the Business Customer has the right to cancel the order.
Orders are delivered by the carrier in accordance with the shipping method selected by the Business Customer when placing the order. The corresponding shipping costs are calculated based on the carrier’s rates.
5.2
Goods remain the property of Wide Awake Coffee BV until full payment of the price (principal sum, costs and interest). Nevertheless, the risks of loss or destruction of the goods sold transfers to the Business Customer upon entering the agreement.
5.3
The Business Customer must ensure that the goods can be delivered by Wide Awake Coffee in a normal manner at the agreed place and time, and thus ensure amongst other things that the place of delivery is accessible. If these conditions are not met, the Business Customer must compensate Wide Awake Coffee for all damages, including waiting time, to reimburse storage costs and costs for the preservation of the case. If the Business Customer unfairly refuses a delivery of the goods, Wide Awake Coffee is entitled to sell the goods to a third party, without prejudice to any compensation for damages.
Article 6 – Invoicing - Payment
6.1
As of January 1, 2026, invoices issued between VAT-registered businesses in Belgium must comply with the legal requirement for electronic invoicing. It is the Business Customer’s sole responsibility to have the technical means necessary to receive a structured electronic invoice via Peppol. The Business Customer must have an active Peppol account. The Business Customer is liable for all damages suffered by Wide Awake Coffee as a result of non-compliance with this provision, including but not limited to late payments, additional administrative and processing costs, and any tax consequences.
6.2
Unless explicitly agreed otherwise in writing, the invoice is payable within 14 calendar days of the invoice date. Invoices that are not protested via registered letter within 8 days from the invoice date shall be deemed fully accepted.
6.3
Any invoice not fully paid on the due date will be increased by operation of law and without notice of default by 12% interest per year and by a fixed compensation equal to 15% of the invoice amount, with a minimum of 75 euros.
6.4
In the event of late payment on the due date, and after registered notice of default, Wide Awake Coffee is entitled to the legal dissolution of the agreement at the expense of the Business Customer, if no useful action is taken within eight work days of the notice of default, without prejudice to the right to compensation. In the event of non-payment on the due date, we also reserve the right to cancel or suspend the part of the delivery that has not yet been carried out, which will be communicated to the Business customer by registered letter.
Article 7 – Conformity - Deficiencies - Liability
7.1
The Business Customer shall immediately check the goods upon delivery. Any visible damage to and/or qualitative deficiencies of an article or other deficiency in the delivery be reported to Wide Awake Coffee by email ([email protected]) as soon as possible and no later than 5 work days after delivery.
7.2
After the period mentioned in article 7.1, Wide Awake Coffee is only liable for hidden deficiencies that make the goods unusable for the intended purpose, Wide Awake Coffee knew or should have known about the deficiencies.
Wide Awake Coffee’s liability for hidden defects is limited to defects that become apparent within a period of 5 days from the date of delivery, provided that the claim was filed before court within this period.
The Business Customer shall notify Wide Awake Coffee by email ([email protected]) at the latest within 5 work days after discovering the hidden deficiency, of the existence of the hidden deficiency with a detailed description of the deficiency.
Complaints about hidden deficiencies do not suspend the payment obligation on the part of the Business Customer.
The liability of Wide Awake Coffee for any defect, visible or invisible, or for any other contractual shortcoming, shall lapse in the event of processing or selling the goods by the Business Customer or third parties.
7.3
In the event of liability of Wide Awake Coffee, the Business Customer may only hold Wide Awake Coffee contractually liable and not extra-contractually. Except in the case of intentional misconduct, our auxiliary persons shall in no event be held liable by the Business Customer in the event of a breach of an agreement concluded by Wide Awake Coffee.
In any case, Wide Awake coffee can only be held liable in the event of fraud, intentional fault, or gross negligence or serious shortcoming on its part or on the part of one of its auxiliary persons in relation to one of the essential obligations of an agreement concluded by us.
The liability of Wide Awake Coffee is in any case limited to the invoice value of the goods/services. Wide Awake Coffee shall not be liable for any damage suffered by the Business customer as a result of claims by third parties, nor for any indirect or consequential damage suffered by the Business customer as a result of non-performance of the agreement (such as, for example, loss of income, rescue costs, remediation costs, damage to reputation and image, additional personnel costs, loss of customers, loss of profit, financial and commercial loss, loss of earnings, business interruption);
Article 8 - Applicable law and jurisdiction
8.1
All of our agreements are governed by Belgian law, without giving effect to any other choice of law or conflict-of-law rules (including, if applicable, The United Nations Convention on Contracts for the International Sale of Goods (Vienna Sales Convention, CISG).
8.2
The (Dutch speaking) commercial court of Brussels has exclusive jurisdiction to settle at first instance any dispute arising out of, or in connection with an agreement. If the justice of the peace is the materially competent authority, the Dutch speaking Justice of the peace of Brussels shall be exclusively competent.
